Why are we doing this?
Over the last year the TIA Board has undertaken a governance review to ensure that Tourism Industry Aotearoa (TIA) can:

Meet the re-registration requirements of the Incorporated Societies Act 2022.

Adapt to the changing needs of our members and wider tourism industry.

Ensure a modern, best practice, governance framework.

What we are proposing
The following provides a summary of what the TIA Board are proposing as a new governance model, that includes:
1. TIA Tourism Council (16 members)

Elected by TIA members – similar in size to the current TIA Board, with some proposed changes to industry sectors and seats.

Responsible for representing members, industry engagement, shaping industry strategy and TIA industry policy positions.
2. Skills based TIA Board (5-7 members)

Responsible for TIA as an organisation, legal and strategic oversight, operational and financial performance.

Appointed by TIA Tourism Council based on skills and experience required for the Board.

Directors’ remuneration is a key consideration for member feedback.
3. Audit & Risk Committee (3 members)

Responsible for financial reporting, risk management, compliance systems, and audit process.
4. Nominations Committee (3 members)

Identify TIA Board skills requirements, assess and recommend candidates for appointment by TIA Tourism Council.

Why is TIA looking to change its governance?
Over the last year the TIA Board has undertaken a governance review to ensure that TIA can meet new legal requirements under the Incorporated Societies Act 2022 (The Act).
The Incorporated Societies Act 2022 came into effect on 5 October 2023. Existing societies, like TIA, need to reregister under the Act by 5 April 2026. There are some key things we need to do before reregistering, such as preparing and adopting appropriate constitutional documents and processes.
We took this opportunity to look at how changes can help to ensure that TIA can adapt to the changing needs of our members and the wider tourism industry, and ensure a modern, best practice governance framework.
The proposed changes have had the input of external governance advice.
Why have the TIA Board reviewed more than what is required to comply with changes to the Act?
Like many societies the TIA Board have taken the opportunity to also review our governance arrangements.
TIA is 72 years old, and the proposed changes look to adopt a best practice approach for the future. TIA has a diverse membership, representing all sectors of New Zealand’s tourism industry, and we want to ensure this is reflected in our governance structure. Having a best practice model will enable TIA to fulfil its full potential on behalf of members and the industry for years to come.
What are the proposed changes?
The TIA Board has carefully considered, developed and are sharing a proposed governance model which includes:

Establishing a TIA Tourism Council - representing members and industry. With some changes to current sector seats / representation to reflect our membership and the industry.

Establishing a skills-based TIA Board - responsible for TIA as an organisation. Appointed by Council based on skills required.

Establishing an Audit & Risk Committee and Nominations Committee.
How will the proposed changes help to support me and the industry?
In developing the proposed governance structure key principles have been:
- Representation: maintaining and strengthening TIA’s member and industry representation.
- Accountability: Clearly defining roles, responsibilities and accountability to enable focused, efficient and effective governance.
- Adaptability: ensuring our governance is adaptable to future needs, with the ability to bring in skills, experience and perspectives.
- Balance: ensuring an appropriate structure and composition which embraces governance best practice in an appropriate way for TIA.
- Inclusivity: ensuring the structure can bring together the diverse range of members and views from across tourism in Aotearoa New Zealand.
We believe there will be benefits to TIA driving value for members including:
- Broader member engagement via the TIA Tourism Council.
- Clear accountability, removing duplication and enabling focus.
- Improved financial performance, risk management, and compliance – with a skills-based board bringing in required experience and expertise.
- Cultural, reputational and brand value benefits of good governance.
- Increased adaptability and flexibility to meet future needs.
When will the changes be implemented?
We are looking to collate feedback from TIA members through to 10 June. We will then ask members to vote on the final consultation changes at our AGM 2025 (8 October 2025) which will be held online to ensure accessibility.
A phased transition to the new structure will then start in 2026.
